In these Terms and Conditions of Sale, “Seller” means Anyload Weigh & Measure Inc.; “Buyer” means the person, firm, company or corporation by whom the order is given.
- Orders: Subject to Seller’s acceptance. Cancellation requires written consent. Orders detail products, quantities, prices, and delivery dates. Advance deposit may apply.
- Prices and Taxes: Listed invoice prices prevail. Seller may adjust due to raw material volatility. Prices exclude taxes. Quotations expire in 30 days. Buyer indemnifies Seller for tax liability.
- Payment Terms: Various payment methods accepted. Credit terms are net 30 days from invoice. Failure to pay may alter credit terms.
- Delivery and Title: Deliveries are ‘EXWORKS.’ Risk transfers on product delivery. Seller not liable for delays beyond control.
- Returns, Refunds, Exchanges: Returns, exchanges in original packaging and condition. Restocking fee may apply. Refunds issued after inspection.
- Limited Warranty: Goods match specifications for 12 months. Warranty void if product misuse or alteration.
- Limitation of Liabilities: Seller not liable for indirect damages exceeding purchase price.
- Use of Products: Not intended for specific uses. Buyer indemnifies Seller for claims from such use.
- Force Majeure: Seller not liable for performance delays due to uncontrollable events.
- General: Disputes governed by Province of British Columbia laws. Buyer’s assignment requires Seller’s consent. Products subject to third-party rights.
